SALISBURY RIDGERUNNERS SNOWMOBILE CLUB, INC. BYLAWS

I. MISSION STATEMENT:
The mission of the Salisbury Ridgerunners Snowmobile Club, Inc. is to provide a safe family environment and advance the general welfare and safety of snowmobilers, hikers, cross country skiers and all winter sports enthusiasts.

This shall be accomplished through education, maintenance, addressing landowner concerns promptly, and compliance with all local, state and federal laws.

II. MEMBERSHIP:
A. Classes of Membership/Dues Structure (2024-25)

1 Year Single Membership $30
1 Year Family Membership $40
5 Year Single Membership $150
5 Year Family Membership $200
10 Year Single Membership $300
10 Year Family Membership $400

B. Eligibility

  • Applications for membership are available online, in the newsletter, or at the Club. When the membership chairman receives a completed application, accompanied with the appropriate Club and NYSSA dues, the membership process is complete and the candidate(s) name is added to the Club's membership list as an active member.
  • Children are eligible in a family membership until the age of 18. At the age of 18, young adults must join the Club as individuals.
  • The amount for Dues, as well as the time for payment, shall be determined from time to time by a majority vote of the membership. Dues are from September 1 through August 31 for each calendar year.
  • Memberships are non-refundable.

C. Rights and Privileges of Memberships

  • Access to club house.
  • Parking and unloading privileges.
  • Access and ability to participate in club events and activities.

D. Code of Conduct/Disciplinary Measures

  • Membership in the Club may be terminated by action of the Board of Directors for violation of Club rules or policies. Anyone caught fighting or acting disrespectful to club property, Board members, active members or anyone will be terminated from entering Ridgerunners property for a length of time specified by the Board. The Board reserves the right to treat each incident on a case by case basis.
  • Any alcohol not purchased from the club is strictly forbidden on Ridgerunners property.
  • Any illegal drug use is strictly forbidden on Ridgerunners property.
  • Flagrant abuse of our trail system can result in membership termination.
  • All infractions require appearance before the Board of Directors.
  • If a member violates club policies a second time, their membership is automatically revoked, and they may not be present on Salisbury Ridgerunners property.

III. OFFICERS:
A. President
The President shall preside over all meetings of the Members, and Board of Directors. The President or his or her designee shall:

  1. Represent the Forum in meetings and communications with other organizations and individuals;
  2. Serve as ex-officio member on all committees;
  3. Act as spokesperson for the Board on matters relating to Corporation policies and positions and perform such other related duties as necessary and appropriate.

B. Vice President
The Vice President shall assume all the powers, duties and functions of the President during the absence of the President, and may also be called upon to perform other such duties as may be assigned by the President or Board of Directors.

C. Secretary
The Secretary shall attend all meetings of the general membership and the Board of Directors

  1. Record all votes and minutes of all proceedings in a book to be kept for that purpose;
  2. Ensure all notices are given in accordance with provisions of these By-laws, or as required by law;
  3. In general, perform all the duties incident to the office of Secretary and such other duties as may be assigned by the President or Board of Directors.

D. Treasurer
The Treasurer shall keep all the accounts of the Club;

  1. Be responsible for the supervision, on behalf of the Board of Directors, of all monies received or expended by the Corporation;
  2. Keep the Board informed of all pertinent financial matters;
  3. Provide a financial report at all regular meetings of the Board of Directors, and general membership, in a format prescribed by the Board;
  4. Provide an annual report at the annual meeting in May and give a SEASONAL report on the club operations for the past season. (Fiscal year end is July 31);
  5. Assist with outside accountant with 990, 990T tax returns and a computation of the club accounts;
  6. File any state, federal and local required permits and licenses including but not limited to: Bell jar license, Raffle license, Federal and State payroll tax reports, state racing and wagering reports, liquor license renewals and changes;
  7. Serve as the Board's liaison with an independent auditor;
  8. Serve as President of the Finance/Audit Committee;
  9. In general, perform all the duties incident to the office of the Treasurer and such other duties that may be assigned by the President or Board of Directors.

Should the position of the Treasurer not be filled, the Board of Directors will solicit an outside accounting firm. The successful firm will be responsible for the duties of the Treasurer, as will be outlined, in the appropriate contract. In the case that the office of Treasurer is not filled, the membership may elect a Financial Advisor that can adivse the BOD on banking issues, financial requirements, money and financial related issues. This person shall serve as a liaison between club and accounting firm.

Job Description: Any prospective candidate [For Position of Financial Advisor] must have a minimum of 5 years', or more, experience in banking or an extensive financial background. Resume and references required.

IV. MANAGEMENT:
Executive Board

  • The Board of Directors shall consist of 10 members (including the past President), each of whom shall be an active member of the Club.
  • The officers (4) shall consist of: President, Vice President, Secretary and Treasurer.
  • All Board members will be eligible to vote except the President.
  • The President will only vote in case of a tie.

Directors
Directors' responsibilities shall include:
a. Active participation in a minimum of TWO events/committees;
b. They will work directly with the chairs of events/committees;
c. All Board members will work at the Landowners' Dinner.

  • All elected terms shall be for two years (Officers and Directors) with the exception of ONE director, position (F), that shall be occupied by the past president until the next election.
  • The Officers and Board of Directors shall be elected from the membership at the special election meeting held in May.
  • Any officer may be removed from office by affirmative vote of two-thirds of the eligible voting class of membership.
  • All elected Officers and members of the Board of Directors shall take office at the start of the new fiscal year August 1.
  • The Officers and Board of Directors shall have the authority and perform such duties as may be provided in these By-Laws, or to extent not so provided, in the interest of the Club by the Board of Directors.
  • Any officer or Board of Director may resign at any time by written notice delivered in person, or by mail, to the President, Secretary or Board of Directors.  Any such resignation shall take effect immediately upon receipt.  Unless specifically requested, acceptance of any such resignation shall not be necessary for its effectiveness.
  • In the event of a vacancy on the Board of Directors, said Board will appoint a replacement from the general membership to fill the term.

a. In case of appointment, that term will expire at the next regularly scheduled election.

Board of Directors

The Board of Directors shall consist of 4 Line Officers and 6 Directors

  • A quorum of the Board of Directors shall constitute 50% of existing members.
  • Any Board of Directors member may be removed at any time, with or without cause, by a two-thirds vote of the Board of Directors and Officers.

Club Meetings

  • Regular meeting of the members shell be held monthly.
  • Monthly meetings will be held on the third Thursday of each month.
  • Monthly meetings will start at 7:30 PM.
  • Board of Directors and Officers shall meet immediately prior to regular meeting.
  • A special meeting will be called every May, following the annual meeting, for the purpose of electing officers and Board of Directors for the following fiscal year (August 1).
  • Groomer committee meetings will be held on the second Thursday of each month, and starting at 7:00 PM.
  • All meetings will be held at the clubhouse.
  • Any business related to the Ridgerunners may be addressed at the monthly meetings. A time limit of 5 minutes will be given to present any topic or issue.

Board of Directors Meetings
Special meetings of the Club may be called by the President or the Board of Directors by giving a 5-day notice of time, place and purpose of the meeting, by posting the information on the website and or e-mail.

Dissolution of Organization
In the event the Salisbury Ridgerunners Snowmobile Club, Inc. should dissolve, the assets of the club shall be transferred to whomeever the Board of Directors chooses at that time.

V. ELECTIONS AND APPOINTMENTS:

-At every March monthly club meeting a Nominating Committee of three will be appointed by the President. All open positions (including Officers) will be announced, anyone wanting to run will be advised to reach out to the Nominating Committee. Directors' positions will be a pool nomination, Officer positions will be run for specifically.

a. Officer Positions:

  • President
  • Vice President
  • Secretary
  • Treasurer

-During the April monthly club meeting the Nominating Committee shall place in nomination candidates for the upcoming seats of Officers and Board of Directors.
a. In order to be considered for election as a Board Member, a minimum attendance of six monthly club meetings of the prior 12 months is required, except in the case of appointment.
b. To vote you must be a current member, be 18 years of age, and attended four prior monthly club meetings of the previous 12, not including the special election meeting.
c. You must be a paid member by February 1st to vote in the May election.

-May Special Election Meeting
a. Announce candidates, and ask for nominations off the floor, for the Director position pool, or each Office position available.
b. Directors

  • Everyone running for a Director position, including the current people in the positions up for vote, will run in a pool nomination. Voters will vote for up to three (or two depending on the year) candidates they want to see as Directors. The top three (or two) people with the most votes will get the open positions.

c. Officers

  • Officer positions will be voted on one by one, unless nobody has run against the current Officer in the open position.
